**BizCentralOrbit – Microsoft Dynamics 365 Business Central Platform – a unit of “Bhoomika Digital Works**

## 1. Acceptance of Terms

By accessing, browsing, or using the BizCentralOrbit platform (“Platform”), website, and related services (“Services”), you agree to be bound by these Terms and Conditions (“Agreement”). If you do not agree to these terms, please do not use our Platform.

**BizCentralOrbit** (“Company,” “we,” “us,” “our”) reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of revised terms.

## 2. User Categories and Specific Terms

BizCentralOrbit serves multiple types of users. The applicable terms depend on your role:

## 3. BC CONSULTANTS (Technical, Functional, Techno-Functional)

### 3.1 Consultant Registration and Profile Requirements

To register as a BC Consultant on BizCentralOrbit:

– You must provide accurate, complete professional information
– You must hold valid Microsoft Dynamics 365 Business Central certifications (preferred but not mandatory)
– You must have minimum 2+ years of demonstrated BC consulting experience
– You must verify your identity and professional credentials
– Your profile is subject to BizCentralOrbit’s verification process
– False or misleading information may result in account suspension or termination

### 3.2 Consultant Responsibilities

As a BC Consultant on our Platform, you agree to:

– **Accuracy** – Provide honest, accurate information about your qualifications, experience, rates, and availability
– **Communication** – Respond to client inquiries within 24 hours
– **Professionalism** – Maintain professional conduct in all communications and sessions
– **Confidentiality** – Not disclose client information, project details, or sensitive data without explicit permission
– **Quality** – Deliver analysis, proposals, and estimates of professional quality
– **Availability** – Respect your stated availability and time zone commitments
– **Cancellation Policy** – Provide at least 24 hours notice for cancellations or rescheduling

### 3.3 Consultant Liability and Limitations

– BizCentralOrbit does not guarantee client assignments or constant project flow
– The Platform is a matching service only; clients make final hiring decisions
– You are responsible for your work quality, professional standards, and client satisfaction
– You maintain independent contractor status; BizCentralOrbit is not your employer
– You are responsible for all taxes, insurance, and legal compliance in your jurisdiction
– Disputes between you and clients should be resolved directly; BizCentralOrbit acts as a neutral mediator

### 3.4 Rating and Review System

– Clients may leave ratings and reviews based on their experience
– Ratings are public and visible to potential clients
– Unfair or false reviews can be disputed through our review appeals process
– BizCentralOrbit reserves the right to remove ratings that violate our community guidelines

### 3.5 Account Suspension and Termination

BizCentralOrbit may suspend or terminate a consultant account if you:

– Provide false or misleading information
– Maintain consistently poor client ratings
– Violate confidentiality or data protection obligations
– Engage in illegal or unethical conduct
– Breach these Terms and Conditions
– Fail to respond to client inquiries for 7+ days

## 4. BUSINESS CENTRAL USERS & ORGANIZATIONS

### 4.1 User Registration

To use BizCentralOrbit as a BC User or Organization:

– You must provide accurate company/personal information
– You must verify your identity via email or phone
– Your organization information (industry, size, location) may be used for consultant matching
– You agree to use the Platform only for legitimate Business Central consulting needs

### 4.2 User Responsibilities

As a BC User, you agree to:

– **Honest Requirements** – Post genuine, detailed project requirements; misleading postings may result in account suspension
– **Professional Conduct** – Treat consultants with respect; harassment or discrimination will not be tolerated
– **Timely Communication** – Respond to consultant inquiries and proposals promptly
– **Confidentiality** – Not share consultant information, rates, or proposals with competitors
– **Feedback** – Provide honest, fair ratings and reviews based on actual experience
– **Payment** – Make timely payments to consultants as agreed
– **Data Privacy** – Protect any confidential information shared during consultations

### 4.3 Consultant Selection

– BizCentralOrbit assists in matching consultants to your requirements but does not guarantee specific results
– You are responsible for evaluating consultant qualifications and selecting the best fit
– You may request proposals from multiple consultants for comparison
– Your final selection is at your discretion; BizCentralOrbit does not force assignments

### 4.4 Client Liability

– You are responsible for ensuring that consultants you hire are qualified and legitimate
– BizCentralOrbit conducts background verification but cannot guarantee consultant quality
– Disputes with consultants should be resolved directly; escalation to BizCentralOrbit is available if needed
– BizCentralOrbit is not responsible for consultant work quality or project outcomes
– You assume all risk associated with hiring independent consultants

## 5. CONSULTANCY SERVICE PROVIDERS (Implementation Companies)

### 5.1 Company Registration and Verification

To register as a Consultancy Service Provider:

– You must be a registered, legitimate business entity
– You must provide company registration documents, tax ID, and business address
– You must have at least 2+ years of BC implementation experience
– Your company profile is subject to BizCentralOrbit’s verification process
– Fraudulent registrations will be immediately terminated and reported to authorities

### 5.2 Service Provider Obligations

As a Consultancy Service Provider, you agree to:

– **Transparency** – Clearly define services, deliverables, timelines, and pricing
– **SLA Compliance** – Deliver analysis and proposals within agreed timeframes
– **Quality Assurance** – Ensure all deliverables meet professional standards
– **Team Management** – Designate qualified team members for client engagements
– **Confidentiality** – Protect all client information and intellectual property
– **Communication** – Designate a primary contact for client coordination
– **Insurance** – Maintain professional liability insurance where applicable

### 5.3 Project Scope and Disputes

– Detailed project scope must be documented before engagement begins
– Scope changes require written approval from both parties
– Disputes over deliverables should be escalated to BizCentralOrbit within 7 days of issue
– BizCentralOrbit will mediate disputes using a fair arbitration process

### 5.4 Service Provider Suspension

BizCentralOrbit may suspend or terminate a service provider account for:

– Providing false company information
– Consistently poor client satisfaction ratings
– Failure to deliver promised services
– Breach of confidentiality or data protection
– Illegal or unethical business practices
– Abandonment of client projects without notice

## 6. MICROSOFT GOLD PARTNERS / RESELLERS (Licensing Services)

### 6.1 Partner Registration

Microsoft Partners and Resellers offering licensing services may register on BizCentralOrbit:

– Current Microsoft Gold Partner status must be verified
– Company must be in good standing with Microsoft
– Licensing service offerings must be clearly defined
– Compliance with Microsoft Partner Agreement is required

### 6.2 Licensing Service Terms

Partners offering Microsoft 365, Dynamics 365, or Power Platform licenses agree to:

– **Compliance** – Comply with all Microsoft licensing terms and conditions
– **Transparency** – Provide clear, accurate pricing and licensing information
– **Support** – Offer proper license activation and support services
– **Updates** – Keep clients informed of license renewals and expiration dates
– **No Misrepresentation** – Not misrepresent license capabilities or coverage
– **Data Security** – Protect customer licensing and personal data

### 6.3 License Support Offerings

Partners may advertise the following services:

– License consulting and right-sizing
– Multi-tenant and multi-entity licensing guidance
– Upgrade and transition planning
– Ongoing subscription management
– Compliance and regulatory guidance
– Cost optimization strategies

### 6.4 Partner Disputes

– License-related disputes with customers should be handled by partners directly
– BizCentralOrbit provides dispute mediation if direct resolution fails
– Microsoft licensing terms supersede BizCentralOrbit terms in case of conflicts

## 7. LEARNERS AND TRAINING PARTICIPANTS

### 7.1 Training Platform Access

Users accessing educational content, videos, blogs, and community forums agree to:

– **Non-Commercial Use** – Content is for personal learning only; commercial reuse without permission is prohibited
– **Intellectual Property** – Respect copyright and do not reproduce without attribution
– **Attribution** – Always credit BizCentralOrbit when sharing content publicly
– **Responsible Use** – Not use content to create competing services

### 7.2 Community Guidelines

Community forum participants agree to:

– Be respectful and professional in all discussions
– Not post spam, promotional content, or advertising
– Not share confidential client information
– Follow forum moderation policies
– Not engage in harassment or discriminatory behavior
– Support fellow community members

### 7.3 Content Licensing

All videos, blogs, whitepapers, and educational materials are provided “as-is” under a Creative Commons Attribution License (CC BY). You may share with attribution but cannot commercially exploit without permission.

## 8. LIVE SESSIONS AND CONSULTING BOOKINGS

### 8.1 Session Booking

When you book a live 1-on-1 consulting session:

– Payment must be completed at time of booking
– Session time is scheduled in the consultant’s stated time zone
– You receive calendar invitation and meeting link (Google Meet / Zoom) 24 hours before session
– Sessions are recorded (with consent) for quality assurance purposes

### 8.2 Consultant No-Show Policy

– If a consultant is absent at session start time, they forfeit payment (which is refunded to client)
– If a consultant cancels with <2 hours notice, clients receive a full refund plus 30% credit for future booking
– Consecutive no-shows may result in account suspension

### 8.3 Client Cancellation

### 8.4 Session Duration and Deliverables

– Sessions are typically 30-60 minutes as scheduled
– For consulting sessions, the consultant will discuss your requirements and provide preliminary guidance
– For analysis sessions, detailed analysis documents may be provided after the session
– Post-session follow-up communication is typically within 48 hours

## 9. REFUND AND CANCELLATION POLICY

### 9.1 Live Session Refunds

**Cancellation via WhatsApp:**

– If you cancel within **1 hour of session booking time** via WhatsApp to BizCentralOrbit:
– Full refund will be initiated
– Refunds are processed to original payment method
– Refund processing takes **7-10 business days** (bank transfer delays possible)

**Cancellation >1 hour booking session time :**

– Full refund minus 10% platform fee (cancellation within 12 hours = 10% fee retained)

**Cancellation < 1 hour before session start:**

– No refund provided
– 20% credit offered toward future booking

### 9.2 Requirement Analysis Service Refunds

For posted requirements and received proposals:

– No refund provided.

### 9.3 Refund Processing Timeline

– Refund is initiated within 24 hours of approval
– Bank processing: **7-10 business days** (varies by bank and country)
– Credit card refunds: 6-8 business days
– International transfers (Stripe, PayPal): 10-15 business days
– We are not responsible for delays caused by your bank

### 9.4 Non-Refundable Services

Certain services are **non-refundable:**

– Downloaded resources, documents, or recorded content (once provided)
– Booklet or whitepaper purchases
– Paid newsletter subscriptions
– Community forum membership fees (if applicable)
– Credits or promotional vouchers (once activated)

### 9.5 Exceptions and Special Cases

– Cancellations due to consultant emergency: full refund /Rescheduling
– Technical platform issues: rescheduling at no cost
– Duplicate payment (system error): full refund of duplicate charge
– Unauthorized transactions: subject to investigation and refund

## 10. PAYMENT TERMS AND CONDITIONS

### 10.1 Payment Methods Accepted

– Credit/Debit Cards (Visa, Mastercard, American Express)
– Bank Transfer / Wire Transfer
– Digital Wallets (Apple Pay, Google Pay)
– Payment Processors: Stripe, PayPal, Razorpay

### 10.2 Pricing and Fees

– Consultant rates are displayed transparently at time of booking
– No hidden fees; total cost is shown before payment confirmation
– Currency conversion (if applicable) is handled by payment processor

### 10.3 Payment Verification

– All payments are verified and secure
– BizCentralOrbit does not store full credit card details (PCI-DSS compliant)
– Failed payments will be retried or require manual resubmission

### 10.4 Invoice and Receipts

– Invoices are sent to your registered email within 24 hours of payment
– Invoices include platform fees and consultant fees separately
– Tax information is provided as applicable in your jurisdiction

### 10.5 Tax Responsibility

– Users are responsible for understanding and paying applicable taxes in their country
– GST, VAT, or local sales tax may apply to consulting services
– Tax invoices and documentation are provided upon request

## 11. INTELLECTUAL PROPERTY RIGHTS

### 11.1 Platform IP

– All content on BizCentralOrbit (design, text, graphics, logos, videos, code) is owned by BizCentralOrbit or licensed to us
– You have a limited, non-exclusive right to use the Platform for its intended purpose
– You may not reproduce, distribute, or modify Platform content without permission

### 11.2 User-Generated Content

– Content you post (proposals, comments, reviews, documents) remains your property
– By posting, you grant BizCentralOrbit a license to display, share, and archive your content
– You are responsible for ensuring your content doesn’t violate third-party IP rights

### 11.3 Consultant Deliverables

– Analysis documents, proposals, and recommendations created by consultants during paid sessions are confidential work product
– You may use deliverables for your internal BC implementation purposes only
– You may not share deliverables with third parties or competitors without consultant permission

### 11.4 Educational Content

– BizCentralOrbit educational materials, videos, and resources are licensed under Creative Commons Attribution (CC BY 4.0)
– You may share with attribution; commercial use requires explicit permission

## 12. LIMITATION OF LIABILITY

### 12.1 Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BIZCENTRALORBIT DISCLAIMS ALL WARRANTIES INCLUDING:

– Merchantability, fitness for a particular purpose, non-infringement
– Accuracy, completeness, or reliability of content
– Uninterrupted or error-free operation
– Security or absence of harmful code

### 12.2 Limitation of Damages

IN NO EVENT SHALL BIZCENTRALORBIT BE LIABLE FOR:

– Indirect, incidental, special, consequential, or punitive damages
– Lost profits, revenue, data, or business interruption
– Damages arising from your use or inability to use the Platform
– Damages from third-party actions or services (including consultants)

**Total liability of BizCentralOrbit is limited to the amount you paid for the specific service**

### 12.3 Consultant Liability

BizCentralOrbit is **not responsible** for:

– Consultant work quality, accuracy, or compliance
– Errors in analysis, proposals, or estimates
– Project implementation or deployment issues
– Disputes between you and consultants (beyond mediation)

Consultants are independent contractors; disputes should be resolved directly with them.

### 12.4 Client Responsibility

YOU ASSUME FULL RESPONSIBILITY FOR:

– Evaluating consultant qualifications before hiring
– Verifying analysis and proposals before implementation
– Compliance with Business Central licensing
– Data security and protection during consultations
– Outcome of any BC implementation or changes

## 13. INDEMNIFICATION

You agree to indemnify and hold harmless BizCentralOrbit, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

– Your violation of these Terms and Conditions
– Your misuse of the Platform
– Your infringement of intellectual property rights
– Your disputes with consultants or other users
– Your breach of confidentiality obligations

## 14. DISPUTE RESOLUTION

### 14.1 Mediation

Any disputes arising from this Agreement shall first be subject to **mediation**:

– Either party may request mediation by emailing **info@bizcentralorbit.com**
– A neutral third party will facilitate resolution within 14 days
– Mediation is non-binding; either party may proceed to arbitration if unsuccessful

### 14.2 Arbitration

If mediation fails, disputes shall be resolved through **binding arbitration**:

– Arbitration will be conducted according to Indian Arbitration and Conciliation Act, 1996
– Single arbitrator will be appointed mutually by parties
– Arbitration venue: Jaipur, Rajasthan, India
– Arbitration award is final and binding

### 14.3 Legal Jurisdiction

These Terms are governed by the laws of India. However, if you are in the EU, GDPR provisions apply; if in California, CCPA provisions apply to the extent not conflicting with arbitration terms.

### 14.4 Class Action Waiver

You agree not to pursue claims against BizCentralOrbit as part of a class action or representative proceeding.

## 15. TERMINATION OF ACCOUNTS

### 15.1 Termination by User

You may terminate your BizCentralOrbit account at any time by:

– Emailing **info@bizcentralorbit.com** with termination request
– Confirming your identity via registered email
– Specifying reason for termination (optional)

Account will be deactivated within 24 hours. Your data will be retained for 90 days before deletion (as per Privacy Policy).

### 15.2 Termination by BizCentralOrbit

BizCentralOrbit may immediately terminate your account if you:

– Violate these Terms and Conditions
– Engage in illegal or unethical activity
– Provide false information
– Harass or harm other users
– Breach confidentiality or data security
– Infringe third-party intellectual property rights

Termination may be with or without cause; suspended users receive notice and opportunity to appeal within 7 days.

### 15.3 Effects of Termination

Upon account termination:

– Your access to the Platform ceases immediately
– Pending payments are forfeited (subject to refund policy exceptions)
– Data is retained per Privacy Policy before permanent deletion
– You remain liable for any breaches committed during account tenure

## 16. PROHIBITED CONDUCT

You agree not to use BizCentralOrbit for:

– **Illegal Activities** – Activities that violate any law or regulation
– **Fraud** – Misrepresenting identity, credentials, or services
– **Harassment** – Threatening, abusive, or discriminatory behavior
– **Spam** – Unsolicited marketing, mass messaging, or phishing
– **IP Infringement** – Reproducing copyrighted or patented content without permission
– **Malware** – Uploading viruses, ransomware, or harmful code
– **Competitive Harm** – Creating fake reviews, sabotaging competitors, or unfair competition
– **Confidentiality Breach** – Sharing client information without consent
– **Unauthorized Access** – Hacking, scraping, or unauthorized system access
– **Misuse** – Using the Platform for purposes other than intended

Violations may result in immediate account suspension and legal action.

## 17. THIRD-PARTY LINKS AND SERVICES

Our Platform may link to third-party websites and services. BizCentralOrbit:

– Does not endorse or control third-party content
– Is not responsible for third-party services, accuracy, or security
– Suggests reviewing third-party privacy policies separately
– Disclaims liability for third-party services

## 18. MODIFICATIONS TO TERMS

BizCentralOrbit reserves the right to modify these Terms at any time. Changes are effective upon posting to the website. Continued use after modification constitutes acceptance.

**Material changes** (e.g., new fees, changes to refund policy) will be announced 30 days in advance with option to terminate if you disagree.

## 19. ENTIRE AGREEMENT

These Terms and Conditions, along with the Privacy Policy, constitute the entire agreement between you and BizCentralOrbit. If any provision is found invalid or unenforceable, remaining provisions remain in effect.
